CCPCA Bylaws

ARTICLE I

Name
The name of this organization is the CLOVER-COLLEGE PARK CIVIC ASSOCIATION.

ARTICLE II

Purpose
The purpose of the Association is to represent the Members of the Association in matters affecting the continued peaceful enjoyment of an attractive neighborhood, identified on maps of Alexandria, VA as encompassing the following streets and street segments:

  • Dartmouth Rd. from Princeton Blvd. to West Taylor Run Pkwy.
  • West Taylor Run Pkwy. from Dartmouth Rd. to Janney’s Lane
  • Janney’s Lane from West Taylor Run Pkwy. to Kingston Ave.
  • Kingston Ave.
  • Kingston Pl.
  • Walleston Ct.
  • Skyhill Rd. from Dartmouth Rd. to Janney’s Lane
  • Crown View Dr.
  • Cloverway Dr.
  • Clovercrest Dr.
  • Vassar Rd.
  • Vassar Pl.
  • Cambridge Rd. from Janney’s Lane to #142
  • Princeton Blvd.
  • Yale Dr. from Janney’s Lane to Ellsworth St.
  • Ellsworth St. from Yale Dr. to #200
  • Trinity Dr. from Yale Dr. to Quaker Lane
  • Canterbury Ln.
  • Cathedral Dr.
  • Chancel Pl.

The area so encompassed shall be termed herein as the Clover-College Park Neighborhood.

ARTICLE III

Membership

  • Section 1. Any adult resident or owner of record of one or more residences in the Clover-College Park Neighborhood is a Member of the Association, and Association Members shall be entitled to one vote per Member.
  • Section 2. The Association does not impose dues but may solicit voluntary contributions at the discretion of the Board of Directors.
  • Section 3. The Association’s fiscal year begins on November 1.

ARTICLE IV

Meetings of the Members

  • Section 1. A meeting of the Members of the Association shall be held in the fall of each year prior to the new fiscal year, and this meeting shall be known as the Annual Meeting. The Annual Meeting shall be for the purpose of Board elections and for any others business that may be brought before the Members by the Board or a Member.
  • Section 2. Special meetings of the Members of the Association may be called by the President or by the Board and shall be called on the written request of twenty (20) Members of the Association.
  • Section 3. At least ten days’ written notice shall be given for the Annual Meeting. Whenever practicable, at least ten days’ written notice shall be given for special meetings, and at least three days’ notice must be given for special meetings.
  • Section 4. Thirty (30) Members of the Association shall constitute a quorum for the conduct of business at a meeting of the Members of the Association.

ARTICLE V

Board of Directors

  • Section 1. The affairs of the Association shall be managed by a seven-person Board of Directors. Each member of the Board must be a Member of the Association.
  • Section 2. At the Annual Meeting of the Association, the Members shall elect the Directors for a term of one year. The Directors shall be elected from the list of candidates set forth by the Nominating and Elections Committee, which list of candidates shall be announced to the Membership, in written form, at least ten days before the Annual Meeting; however, a candidate may be nominated by a Member at the Annual Meeting. Any nominated candidate for the Board of Directors shall be allowed, prior to the votes being cast, to speak at the Annual Meeting. No person may serve for more than six consecutive years as a Director.
  • Section 3. In the event of death or resignation of a Director, his or her successor shall be selected by the remaining members of the Board and shall serve for the unexpired term of his or her predecessor.
  • Section 4. Regular meetings of the Board shall be held as determined by the Board President. Regular meetings of the Board shall be held at least five (5) times per year, and Association Members will be invited to attend. Each Board meeting will provide time for comment by Association Members. A majority of the Directors shall constitute a quorum for the transaction of Board business.
  • Section 5. Special meetings of the Board may be held when called by the President or by a majority of the Directors.
  • Section 6. The Board shall have general supervision of the affairs of the Association between meetings of the Members of the Association. The Board shall be subject to the votes of the Members of the Association, and none of its acts shall conflict with action taken by the Members at a meeting of the Members.

ARTICLE VI

Officers

  • Section 1. The officers of the Association shall be a President, a Vice-President, a Secretary, and a Treasurer. The officers shall perform the duties usually and customarily associated with these offices.
  • Section 2. Within two weeks following the Annual Meeting of the Members the officers shall be elected by the Board of Directors to serve for one year or until their successors are elected.
  • Section 3. No officer shall be eligible to serve more than three (3) consecutive terms in the same office.

ARTICLE VII

Committees

  • Section 1. Standing or ad hoc committees, with the exception of the Nominating and Elections Committee, shall be established and committee members appointed by the President with the concurrence of the Board.
  • Section 2. The Nominating and Elections Committee shall be appointed by the Board. It shall consist of three (3) Members who are not current Board members and who do not intend to be a candidate. The Nominating and Elections Committee should strive to present a slate of candidates that represents the diversity of the Membership.

ARTICLE VIII

Parliamentary Authority
The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the Association in all cases where they are applicable and in which they are not inconsistent with these Bylaws.

ARTICLE IX

Amendments
These Bylaws may be amended at any meeting of the Members of the Association by a two-thirds vote of the Members present, provided that the amendment has been submitted in writing with the notice calling the meeting.
